Nearly half of Warner Bros. Discovery shareholders have an issue with CEO David Zaslav’s paycheck.
More than 40% of shareholders in the company formed last year cast votes against the media giant’s executive compensation plan at its annual meeting on Monday, according to regulatory filings submitted late Wednesday.
Zaslav, who also holds the title of president, took home $39.3 million last year, after receiving a pay package in 2021 that soared to $246 million in 2021 thanks to a hefty $203 million stock options that was tacked on to his pay. Shareholders appear to be unhappy with the pricey package he’s receiving.
The debt-laden company said in an SEC filing that just over half of the shareholder votes cast on the question of the 2022 executive compensation plan — commonly known as a “say on pay” vote — were in favor, while 49.2% voted against the proposal.

Elvis topped the feature competition at the 10th annual Make-Up Artists and Hair Stylists Guild Awards (IATSE Local 706), winning a pair of awards for period make-up and period hair styling.
Accepting with the team, Shane Thomas said of the team’s challenge to creating Elvis Presley, “We wanted to represent and respect, but not impersonate.” He also saluted director Baz Luhrmann’s “unwavering commitment” to filmmaking.
Also on Saturday at The Beverly Hilton, Black Panther: Wakanda Forever collected the award for contemporary hair styling. Department head Camille Friend dedicated the award to the late Chadwick Boseman.

Former PricewaterhouseCoopers CEO Samuel Di Piazza Jr. on Tuesday was named chairman of the board of Warner Bros. Discovery. Di Piazza was one of seven picks for the 13-member board by AT&T, which is spinning off WarnerMedia ahead of a merger with Discovery.
As part of the merger deal, Discovery Inc. will name six of its own directors to the board — they are expected to include current Discovery CEO David Zaslav, who will retain that title in the newly merged company.

Di Piazza, previously global CEO of PricewaterhouseCoopers from 2002 until his retirement in 2009, spent 36 years working at PwC. He was among the seven board members of the combined WarnerMedia-Discovery that AT&T announced Tuesday. The Warner Bros. The sequel to the comedy classic won both contemporary awards plus the special make-up prize. The period/character awards went to the makeup of “Cruella” and the hairstyling of “Being the Ricardos.”

Football great Colin Kaepernick has entered the ballooning word of SPACs, or special purpose acquisitions companies, and will be co-chairman of a new one called Mission Advancement Corp.
He’s partnering with Najafi Cos. a private investment firm with holdings in consumer, retail, ecommerce, sports, media, and technology. They have assembled an all diverse board of directors for the Spac with advisors including leading filmmaker and activist Ava DuVernay.
According to an SEC filing, the Spac will target companies worth north of about $1 billion “with a focus on high quality brands with scalable business models and a direct relationship with an established customer base in the United States.” The idea is to identify targets with operations and Esg-related characteristics that align with the partners’ business strategy of supporting companies that currently have or have the potential to generate a positive social impact along with potential to grow and create shareholder value.

Previously announced, “Can You Ever Forgive Me?” star Melissa McCarthy will receive the organization’s Distinguished Artisan Award. The guild’s outgoing president, Emmy-nominated makeup artist Susan Cabral-Ebert, will receive the Lifetime Achievement Award along with Emmy-winning hairstylist Robert Louis Stevenson.
Winners will be announced at the 6th annual Makeup Artists and Hairstylists Guild Awards on Saturday, Feb. 16. Full list of nominees below:

Seventeen different films, including the short-listed Oscar entries “Stan & Ollie,” “Bohemian Rhapsody,” “Mary Queen of Scots,” “Vice” and “Black Panther,” have received nominations for the Make Up Artists and Hair Stylists Guild’s 6th Annual Muahs Guild Awards.
Nine of those films received two nominations in the guild’s five movie categories: The five that are also on the Oscar makeup and hair short list, plus “A Star Is Born,” “Crazy Rich Asians,” “Widows” and “Mary Poppins.”
Two films made the Oscar short list but were not nominated for Muahs Guild Awards: the Swedish film “Border” and the Luca Guadagnino horror remake “Suspiria.”
